This guidance note explains the execution formalities under the Companies Act 2006 (CA 2006) that must be observed when a company enters into a deed governed by the laws of England and Wales.

Companies subject to execution provisions in CA 2006

The execution provisions in the CA 2006 apply to:

  1. Companies formed and registered after 1 October 2009 under the CA 2006.
  2. Companies formed and registered under the Companies Act 1985 (CA 1985).
  3. Companies that were existing companies at the time the CA 1985 came into force. This category includes, for example, companies incorporated under previous Companies Acts, such as the Companies Acts 1948 to 1983.
